This Data Processing Agreement ("DPA") is entered into between Silicon Group Inc. ("Company") and the entity identified in the applicable services agreement ("Customer") and forms part of the Agreement for services between the parties.

Company shall notify Customer without undue delay upon becoming aware of a Personal Data breach, providing sufficient information for Customer to meet its notification obligations.
Customer may audit Company's compliance with this DPA up to once per year on reasonable notice. Company may provide recent third-party audit reports instead of permitting a direct audit.
Upon termination, Company shall, at Customer's option, delete or return all Personal Data and delete existing copies unless required by law to retain.
Each party's liability under this DPA shall be subject to the limitations set forth in the Agreement.
12.1 This DPA is governed by the laws specified in the Agreement.
12.2 In case of conflict between this DPA and the Agreement, this DPA prevails for matters relating to Personal Data processing.
